Alpha Networks LLC ("Company," "we," "our," "us")

By accessing or using the Alpha Networks dashboard, signals, APIs, or related services ("Services"), you ("User") agree to the following terms and conditions. If you do not agree, do not use the Services.

CRITICAL LEGAL NOTICES - READ BEFORE USING SERVICES

By accepting these Terms, you explicitly agree to the following:

  • NO FINANCIAL ADVICE: Alpha Networks provides data for informational purposes only. We are NOT financial advisors. All trading decisions and losses are YOUR sole responsibility.
  • YOU ASSUME ALL RISK: Cryptocurrency trading is extremely risky. You may lose all your capital. You RELEASE Alpha Networks from ALL liability for trading losses, missed opportunities, or damages of any kind.
  • NO CLASS ACTIONS: You WAIVE your right to participate in class action lawsuits or class-wide arbitration. All disputes must be resolved individually through binding arbitration (see Section 10).
  • MANDATORY ARBITRATION: You agree to resolve all disputes through individual binding arbitration, not court litigation.
  • NO REFUNDS - BETA SERVICE: Beta subscriptions are strictly non-refundable under all circumstances, including service issues, downtime, or dissatisfaction.
  • ACCOUNT SHARING PROHIBITED: Individual accounts are for ONE user only. Sharing credentials results in immediate termination and financial liability.
  • BETA PRICING FORFEITURE: $49/month beta pricing is lost permanently if you cancel, miss a payment, or upgrade tiers. No reinstatement possible.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

1. No Financial Advice - Informational Use Only

  • Not Financial Advice: Alpha Networks LLC provides raw market data, analytics, trade signals, and wallet tracking for informational, educational, and research purposes ONLY. Nothing provided through the Services constitutes financial advice, investment advice, trading advice, legal advice, tax advice, or any form of professional advisory services.
  • No Fiduciary Relationship: We are NOT a broker, investment advisor, financial advisor, registered investment advisor (RIA), exchange, custodian, or fiduciary. No fiduciary, advisory, or consultative relationship is created between Alpha Networks LLC and any User.
  • No Recommendations: Signals, data points, wallet activities, trade alerts, and analytics are provided for observation and research only. They do NOT constitute recommendations, endorsements, or suggestions to buy, sell, or hold any asset.
  • User Assumes All Risk: By using the Services, you explicitly acknowledge and agree that:
    • All trading and investment decisions are made solely by you at your own discretion and risk
    • You are solely responsible for conducting your own research, analysis, and due diligence
    • Past performance of tracked wallets does NOT indicate future results
    • Cryptocurrency and trading markets are highly volatile and carry substantial risk of loss
    • You may lose some or all of your invested capital
    • You should never trade with funds you cannot afford to lose
  • Consult Professionals: You are strongly encouraged to consult with licensed financial advisors, tax professionals, and legal counsel before making any trading or investment decisions.

2. Complete User Responsibility & Release of Liability

  • Sole Responsibility: You are 100% solely and exclusively responsible for:
    • All trading decisions, strategies, position sizing, and risk management
    • All profits, losses, gains, damages, or consequences resulting from your trading activity
    • Compliance with all applicable federal, state, local, and international laws and regulations
    • Tax obligations, reporting requirements, and regulatory filings related to your trading
    • Security of your own wallets, private keys, exchange accounts, and funds
  • Explicit Release: You expressly and irrevocably RELEASE, WAIVE, and FOREVER DISCHARGE Alpha Networks LLC, its owners, officers, directors, employees, contractors, affiliates, and agents from ANY and ALL liability, claims, demands, damages, losses, costs, or expenses (including attorney's fees) arising from or related to:
    • Trading losses, investment losses, or capital losses of any amount
    • Missed opportunities, delayed signals, or inaccurate data
    • Your reliance on signals, data, or information from the Services
    • Market volatility, crashes, liquidations, or adverse price movements
    • Exchange hacks, failures, outages, or insolvencies
    • Regulatory actions, tax liabilities, or legal consequences of your trading
    • Any direct, indirect, incidental, consequential, or punitive damages related to your use of the Services
  • Knowing and Voluntary Waiver: You acknowledge that this release of liability is KNOWING, VOLUNTARY, and made with full understanding of its significance. You have had the opportunity to seek independent legal counsel before accepting these Terms.
  • Assumption of Risk: You voluntarily and knowingly assume all risks associated with cryptocurrency trading, including but not limited to: market risk, liquidity risk, volatility risk, counterparty risk, regulatory risk, technology risk, and risk of total capital loss.

3. Prohibited Account Sharing & Credential Security

  • Individual Use Only: Each subscription seat is licensed for use by ONE individual user only. Accounts, credentials, API keys, and dashboard logins are strictly non-transferable and may not be shared, sold, leased, or redistributed under any circumstances.
  • Prohibition on Multi-User Access: You may not:
    • Share your login credentials or API keys with any other person, team, or organization
    • Allow multiple people to access the Services using a single account
    • Resell, redistribute, or rebroadcast signals, data, or insights from the Services
    • Post credentials, signals, or data in public channels (Discord, Telegram, Twitter, forums, etc.)
    • Create derivative works or competing services using Alpha Networks data
  • Institutional Users: Institutional subscribers (hedge funds, trading firms, family offices, investment funds) may use the Services under the same terms as individual users. Each institutional account is licensed for internal use by the subscribing entity only and may not be shared across multiple legal entities or subsidiaries without separate subscriptions.
  • Detection & Enforcement: All access is fingerprinted, logged, and actively monitored using device fingerprinting, IP analysis, usage patterns, and behavioral analytics. If unauthorized sharing, leakage, or multi-user access is detected:
    • Account will be terminated immediately without warning or refund
    • The User agrees to pay liquidated damages of $500 per detected unauthorized user, plus recovery of all lost revenue
    • The User is financially liable for costs of investigation, legal fees, and damages arising from unauthorized use
    • Alpha Networks LLC reserves the right to pursue legal action, injunctive relief, and full recovery of damages
    • Permanent ban from all current and future Alpha Networks LLC services
  • Reporting Leaks: If you discover your credentials have been compromised or leaked, you must immediately notify security@alphanetworks.ai and revoke access. Failure to report known leaks constitutes willful violation of these Terms.

4. Intellectual Property

  • All content, signals, dashboards, APIs, and underlying code are the property of Alpha Networks LLC.
  • Users are granted a limited, revocable, non-transferable license to use the Services.
  • Reverse engineering, scraping, or derivative works are strictly prohibited.

5. Limitation of Liability

  • Alpha Networks LLC provides the Services "as is" and without warranty of any kind.
  • To the maximum extent permitted by law, Alpha Networks LLC disclaims all liability for:
    • Any direct or indirect trading losses,
    • Data accuracy issues,
    • Service outages or downtime,
    • Third-party exchange or API errors.
  • Liability is strictly limited to the amount paid by the User for Services in the preceding 30 days.

6. Indemnification

  • You agree to indemnify, defend, and hold harmless Alpha Networks LLC, its officers, directors, employees, contractors, and affiliates from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or relating to:
    • Your use or misuse of the Services
    • Your violation of these Terms & Conditions
    • Your violation of any laws, regulations, or third-party rights
    • Your trading decisions, losses, or investment activities
    • Unauthorized sharing, leaking, or distribution of credentials or data
    • Chargebacks, payment disputes, or fraud allegations
    • Any content, data, or information you submit, post, or transmit through the Services
  • This indemnification obligation survives termination of your account and these Terms.

7. Termination

  • Termination by Company: Alpha Networks LLC reserves the right to immediately terminate or suspend any account for any reason, including but not limited to: violation of these Terms, abusive behavior, credential sharing, payment fraud, chargebacks, excessive API usage, or actions that harm the platform or other users.
  • Termination by User: Users may cancel their subscription at any time via account settings or by contacting support. Cancellation takes effect at the end of the current billing period with no refund for unused time.
  • Effect of Termination: Upon termination, all access to Services (dashboard, API, data) is immediately revoked. Termination does not release the User from financial liability for damages, unpaid obligations, or indemnification duties.
  • No Reinstatement: Accounts terminated for Terms violations may not be reinstated. Returning users must create new accounts at current standard pricing and are subject to approval.

7. Beta Program & Pricing Structure

  • Beta Founding Member Pricing: The first 25 beta users who complete payment receive locked-in pricing of $49/month for Growth tier access for the lifetime of their active subscription. This rate will never increase for beta founding members.
  • Standard Growth Pricing: After the beta program concludes (25 seats filled), standard Growth tier access is priced at $500/month. Beta users are grandfathered at $49/month - a 90% lifetime discount in exchange for early adoption and accepting beta risks.
  • Premium Tier Pricing: Access to higher-performing cohorts requires premium subscriptions:
    • Elite Tier: Contact for pricing (very limited seats, invite-only, vetted applications)
  • Limited Seat Availability: All tiers have hard seat caps to preserve signal quality and edge. Once a tier is full, new users are placed on a waitlist or offered alternative tier access.
  • Cohort Access: Each subscription tier grants access only to specified cohorts (e.g., Growth tier = Growth Candidates cohort only). Premium cohorts require corresponding premium tier subscriptions.
  • No Refunds - Service Issues: Beta subscriptions are strictly non-refundable under all circumstances, including but not limited to:
    • Service outages, downtime, or unavailability of any duration
    • Data delays, inaccuracies, or delivery issues
    • API rate limiting or access restrictions
    • Changes to features, cohorts, or data availability
    • Dissatisfaction with service quality or performance
    • Technical issues, bugs, or system errors
    • Third-party service failures (Stripe, exchanges, data providers, etc.)
  • Beta Nature & Risks: By subscribing to the Beta program, you explicitly acknowledge and accept that:
    • The service is in BETA testing and may contain bugs, errors, or incomplete features
    • Downtime, outages, and service interruptions may occur without notice or compensation
    • Data accuracy and timeliness are not guaranteed during the beta period
    • Features may be added, modified, or removed at any time without prior notice
    • You are participating in testing and development of the platform
    • No service level agreements (SLAs) or uptime guarantees apply to beta users
  • Service Changes: As a beta participant, you acknowledge that features, data delivery, cohort composition, rate limits, and access restrictions may change at any time during the beta period. Alpha Networks LLC will make reasonable efforts to notify users of material changes but is not obligated to do so.
  • Cancellation: Beta users may cancel their subscription at any time from account settings or by contacting support. Upon cancellation, access will be revoked at the end of the current billing period. No prorated refunds will be issued for partial billing periods.
  • Payment Requirement: Beta seats are only reserved upon successful payment completion. Users who initiate signup but do not complete payment do not hold a reserved seat and will not be granted access.
  • Seat Scarcity & Edge Preservation: Growth tier is capped at approximately 100-150 total seats (10-15% of the 971-wallet cohort) to preserve trading edge. After this limit, Growth tier signups will close permanently and users must either join the waitlist or upgrade to premium tiers ($299+/month) for access to exclusive smaller cohorts.
  • Price Guarantee & Forfeiture Conditions: Beta founding members (first 25 users) are permanently locked at $49/month for Growth + Whales tier access, regardless of future price increases. This pricing guarantee remains in effect ONLY under the following conditions:
    • Continuous Active Subscription: The subscription must remain continuously active with no gaps in service. Payment lapses, cancellations, or suspensions immediately forfeit beta pricing.
    • No Tier Changes: Beta pricing applies exclusively to the Growth + Whales tier. Upgrading to Elite, Ultra-Elite, or Whale tiers forfeits the $49/month rate and requires payment at the upgraded tier's standard pricing.
    • No Downgrades After Upgrade: If a beta user upgrades to a premium tier and later downgrades back to Growth + Whales, they will NOT regain the $49/month beta rate and will be charged standard Growth pricing ($500/month).
    • Payment Must Remain Current: Any payment failure, declined transaction, or billing dispute that results in suspended access (even for one day) permanently voids beta pricing.
    • No Reinstatement: Once beta pricing is lost due to cancellation, payment lapse, upgrade, or suspension, it cannot be reinstated under any circumstances. Returning users will be subject to current standard pricing ($500/month for Growth + Whales or higher for premium tiers).
    By accepting beta pricing, you acknowledge that this is a one-time, non-renewable offer contingent on maintaining continuous service without interruption or tier changes.

8. Subscription & Billing

  • Billing Cycle: Subscriptions are billed monthly in advance on a recurring basis via Stripe. First payment is due immediately upon signup.
  • Payment Method: Users are responsible for maintaining valid payment information at all times. All payments are processed securely through Stripe. Alpha Networks LLC does not store credit card information.
  • Failed Payment Enforcement: Failed payments, declined cards, or insufficient funds result in immediate suspension of all access (dashboard, API keys, data feeds, webhooks) until payment is successfully processed. No grace period, warnings, or exceptions are provided. Beta pricing forfeiture rules apply (see Section 7).
  • Access Restoration: Once payment is successfully processed via the billing portal, access is automatically restored within 5-15 minutes. Repeated payment failures may result in permanent account termination.
  • Current Pricing Tiers:
    • Growth + Whales Standard: $500/month
    • Elite Tier: Contact for pricing (invite-only, very limited seats, vetted applications)
    Beta founding member pricing ($49/month) is governed exclusively by Section 7 terms and conditions.
  • Price Changes: Alpha Networks LLC reserves the right to modify standard pricing at any time with 30 days email notice. Price increases do not apply to active beta founding members who maintain continuous service (see Section 7 forfeiture conditions).
  • Chargebacks & Disputes: Filing a chargeback or payment dispute results in immediate account termination and permanent ban from all Alpha Networks LLC services. Legitimate billing issues must be resolved through support@alphanetworks.ai before disputing charges with your bank.
  • No Prorated Refunds: Cancellations and downgrades take effect at the end of the current billing period. No partial refunds, credits, or prorated amounts are issued under any circumstances.

9. Pricing Adjustments, Tier Changes & Grandfathering

  • Right to Adjust Pricing: Alpha Networks LLC reserves the right to modify, increase, or decrease pricing for any subscription tier at any time. Pricing changes will be communicated via email with a minimum of 30 days advance notice, unless otherwise specified in these Terms.
  • Grandfathering Policy: Existing subscribers at the time of a price increase may be grandfathered at their current rate at Alpha Networks LLC's sole discretion. Grandfathered pricing is subject to the following conditions:
    • Continuous active subscription with no payment lapses, cancellations, or suspensions
    • Compliance with all Terms & Conditions
    • No tier downgrades or upgrades (which may result in forfeiture of grandfathered rate)
    • Payment must remain current at all times
  • Price Increase Notifications: When tier pricing increases, affected subscribers will receive email notification 30 days in advance with options to:
    • Continue at the new increased rate
    • Accept grandfathered pricing if offered (subject to conditions above)
    • Downgrade to a lower tier (if available)
    • Cancel subscription (effective at end of current billing period)
  • Seat Capacity Changes: Alpha Networks LLC reserves the right to reduce, limit, or close enrollment for any subscription tier at any time to preserve signal quality, trading edge, and platform performance. When seat capacity is reduced:
    • Existing active subscribers will retain access unless they cancel, allowing their subscription to lapse, or violate Terms
    • New signups may be closed, waitlisted, or offered alternative tiers
    • No guarantee of re-enrollment if a user cancels a closed tier
  • Tier Restructuring: Alpha Networks LLC reserves the right to restructure, rename, merge, split, or eliminate subscription tiers. In such cases:
    • Affected subscribers will be notified at least 30 days in advance
    • Users will be offered comparable alternative tier access or refund of remaining subscription period
    • Grandfathered pricing may be preserved, modified, or eliminated at Alpha Networks LLC's discretion
  • Feature & Cohort Changes: Access to specific trader cohorts (Growth, Whales, Elites, Ultra-Elites), data features, API rate limits, and service capabilities may change over time as the platform evolves. Alpha Networks LLC reserves the right to:
    • Add, remove, or modify trader cohorts included in any tier
    • Adjust API rate limits, data refresh frequencies, or feature availability
    • Migrate wallets between cohorts based on performance changes
    • Discontinue or replace features with reasonable advance notice
  • Early Adopter & Promotional Pricing: Special pricing offered for early adopters, beta participants, promotional campaigns, or limited-time offers is subject to specific terms disclosed at the time of purchase. Such pricing may be subject to forfeiture conditions, time limits, or usage restrictions as specified in the offer terms.
  • No Retroactive Price Decreases: If pricing for a tier decreases, existing subscribers paying higher rates will not automatically receive retroactive refunds, credits, or rate reductions unless explicitly offered by Alpha Networks LLC.
  • Currency & Payment Processing: All prices are quoted in U.S. Dollars (USD). Users are responsible for any currency conversion fees, international transaction fees, or payment processing fees charged by their financial institutions or payment processors.

10. Dispute Resolution & Arbitration

  • Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including the breach, termination, enforcement, interpretation, or validity thereof) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
  • Individual Basis Only: All arbitration proceedings shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Alpha Networks LLC.
  • No Class Actions: You agree that disputes will be resolved individually. You expressly waive your right to bring, join, or participate in any class action, collective action, or representative proceeding against Alpha Networks LLC.
  • Arbitration Location: Arbitration shall take place in Portland, Oregon, or remotely via video conference at the arbitrator's discretion.
  • Costs: Each party shall bear its own costs of arbitration, including attorney's fees. The prevailing party may be awarded costs and attorney's fees at the arbitrator's discretion.
  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to conflict of law principles.
  • Exceptions: Either party may seek injunctive relief in state or federal courts in Oregon to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or proprietary data.
  • 30-Day Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to legal@alphanetworks.ai within 30 days of first accepting these Terms. If you opt out, all disputes will be resolved in state or federal courts located in Oregon, and you waive any objection to jurisdiction or venue in those courts.

11. Amendments

  • Alpha Networks LLC may update these Terms & Conditions at any time. Continued use of the Services constitutes acceptance of the updated terms.
  • Beta pricing guarantees and grandfathered rates remain in effect even if other terms are amended, subject to forfeiture conditions specified in Sections 7 and 9.

By using Alpha Networks LLC's Services, you confirm that you have read, understood, and agreed to these Terms & Conditions.
